SMG Custom Program and Events Terms & Conditions:
This Standard Addendum for Events, as supplemented by other agreement between the parties (this “Standard Addendum”), offers media companies and advertising companies a standard for conducting business in a manner acceptable to both.
Scope: Once incorporated by the parties into an Insertion Order, the Standard Addendum applies to events planned by the signatory parties of the Insertion Order. The Standard Addendum supplements and amends the following standard terms and conditions between the parties:
Standard Terms and Conditions for Internet Advertising for Media Buys One Year or Less, Version 3.0, as amended by the parties in writing (“Standard Terms”).
The Standard Terms, as supplemented and amended by this Standard Addendum, will be referred to in this document as these “Global Standard Terms.” As used in these Global Standard Terms, “agreement” and “agree” shall mean an agreement of the parties in writing, whether in an IO, these Global Standard Terms, or other legally binding document between the parties. In the event of a conflict between this Standard Addendum and the Standard Terms, this Standard Addendum will govern.
- Definitions. Capitalized terms used in this Standard Addendum but not defined will have the definition specified in the Standard Terms.
- Payment
- Timeline. All payments for events, including sponsorship, advertising and related fees, must be paid in full for the total contracted amount within 30 days following execution of the Insertion Order or other legally binding document between the parties.
- Cancellations
- Digital Display and eBlasts: Cancellation with 14 days prior notice
- Digital Special Sections & Takeovers: Cancellation with 60 days prior notice to launch date
- Print: Cancellation up until the day of ad close
- Print Special Section: Cancellation with 60 days prior notice to ad close date
- eNewsletter: 60 days notice before the launch date
- In-Person or Virtual Events and Unique Custom Programs:
- Cancellations communicated more than sixty (60) days before the underlying event or custom product launch qualify for a cancellation and refund if prepaid, less any direct costs Sightline Media Group has incurred, which will be billed to the client.
- Cancellations communicated up to 30 (30) days before the underlying event or custom product launch qualify for a 50% refund, less any direct costs Sightline Media Group has paid, which will be billed to the client.
- Cancellations of 30 (30) days or less will be billed in full, even if the program does not run.
- Brand Customized Program: No cancellation once contracted
- High Impact Creative Development: No cancellation once contracted
- Any product exclusively purchased upfront for a calendar year or more than six months of a calendar year after the year begins: No cancellation once contracted
- Use of the Contacts List.
- Compliance with Applicable Laws. After the event, for programs where a registration list will be provided the parties shall use the registration list and process the information in accordance with applicable laws, including, but not limited to the California Consumer Privacy Act (“CCPA”) and the General Data Protection Regulation (“GDPR”).
- Timeline
- The parties shall abide to the timeline established by the Insertion Order or other legally binding document between the parties. Failure to abide to the agreed upon timeline may result in delay of the delivery and completion date.
- All required assets must be received by the requested due date. Failure to provide assets by the requested due date(s) may result in delay of the delivery and completion.
- Webcasts: Due to the nature of military / government speaker’s jobs there are unexpected calls of duty, emergencies and other unavoidable schedule changes that can come up. If any last minute change does arise for a scheduled Event the Sightline editorial team may have to change launch dates, even at the very last minute.
- While Sightline will do its best to accommodate the best dates for the Sponsor and Subject Matter Expert (SME), no launch date is guaranteed.
- Any and all launch dates are decided upon by Sightline’s editorial team. However if a launch date has to shift by more than 8 weeks past the expected date, Sponsor is entitled to cancel and earn a full refund if Sponsor has prepaid.
